Terms of Service

1. Introduction

Welcome to PropHedge ("PropHedge," "we," "our," "us"). These Terms of Service ("Terms") govern your access to and use of the website www.prophedge.net (the "Site"), any associated sub-domains, the PropHedge web dashboard, the MetaTrader 5 Expert Advisor (the "EA"), application-programming interfaces (APIs), plug-ins, documentation, and all related services (collectively, the "Service").

By accessing or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not access or use the Service.

2. Description of the Service

1. Dashboard – A secure, browser-based dashboard that aggregates and visualises trading data, challenge metrics, profit-split calculations, and performance analytics.
2. Expert Advisor (EA) – A downloadable EA for MetaTrader 5 that connects to PropHedge servers to retrieve data and (when enabled) place, modify, or close trades—including hedging strategies—on the user's trading accounts.
3. Subscription Plans – Access is provided through (a) a recurring Monthly subscription or (b) a one-time Lifetime subscription.
4. Support & Updates – Email support and periodic software updates are included for the duration of an active subscription.

3. Registration and Account Security

1. Eligibility – You must be at least 18 years old and legally capable of entering into binding contracts.
2. Registration – Create an account using a valid e-mail address or Google OAuth. You agree to provide accurate information and keep it current.
3. Credentials – You are responsible for safeguarding your login credentials and for all activities that occur under your account.
4. Security Measures – We employ industry-standard technical and organisational measures (e.g., encryption in transit and at rest, firewalls, role-based access controls) but cannot guarantee absolute security.

5. Licence

Upon successful registration and payment, PropHedge grants you a personal, revocable, non-exclusive, non-transferable licence to (a) download and use one copy of the EA per authorised trading terminal and (b) access and use the dashboard and related materials, strictly in accordance with these Terms.

6. Subscription, Fees, and Payment

1. Plans – (a) Monthly (auto-renewing) and (b) Lifetime (one-time fee). Current prices are displayed on the Site.
2. Billing – Monthly plans renew automatically on the calendar day corresponding to the original purchase date unless cancelled before renewal.
3. Payment Processor – Payments are handled by third-party processors; their terms govern your transaction.
4. Refunds – All fees are non-refundable except as required by applicable law or expressly stated on the Site.
5. Price Changes – We may modify fees on 14 days' prior notice (e-mail or dashboard banner). New prices apply to the next billing cycle.

7. No Affiliation / Endorsement

PropHedge is independent and not affiliated with, endorsed, or sponsored by any proprietary-trading firm, broker, or other financial intermediary. All third-party names and marks appear solely for descriptive purposes.

8. Third-Party Compliance ("Compliant Use")

You represent and warrant that your use of the Service does not violate any contract, policy, or rule binding you to a proprietary-trading firm, broker, liquidity provider, or other third party. You alone are responsible for verifying such compliance, and you shall hold PropHedge harmless from any consequence of your breach of those obligations.

9. Indemnification

You agree to defend, indemnify, and hold harmless PropHedge and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

1. your use or misuse of the Service;
2. your violation of these Terms; or
3. your breach of any agreement with, or duty owed to, any third party (including proprietary-trading firms and brokers).

10. Intellectual Property

The Service—including all software, code, graphics, interfaces, text, and logos—is and remains the exclusive property of PropHedge or its licensors, protected by copyright, trademark, and other laws. Except for the limited licence granted in Section 5, no rights are transferred to you.

11. No Investment, Legal, or Tax Advice

All information, analytics, and tools provided by PropHedge are for educational and informational purposes only. PropHedge does not provide investment, legal, tax, or other professional advice, and nothing in the Service constitutes a recommendation or solicitation to buy, sell, or hold any financial instrument.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, PropHedge disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, nor do we guarantee specific trading results or profitability.

13. Limitation of Liability

To the maximum extent permitted by applicable law, PropHedge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Service—even if PropHedge has been advised of the possibility of such damages.

PropHedge's total cumulative liability arising out of or relating to the Service shall not exceed the greater of (a) the amounts you paid to PropHedge in the 12 months preceding the event giving rise to liability or (b) €100.

14. Notice-and-Takedown Procedure (IP Claims)

If you believe that material available through the Service infringes your intellectual-property rights, please send a detailed notice to team@prophedge.net containing:

• identification of the copyrighted work or trademark allegedly infringed;
• identification of the material you claim is infringing (URL or screenshot);
• your name, address, telephone number, and e-mail;
• a statement that you have a good-faith belief the disputed use is not authorised;
• a statement that the information is accurate, made under penalty of perjury;
• your electronic or physical signature.

We will investigate and, where appropriate, remove or disable access to the material in accordance with applicable law (including Art. 17 D.Lgs. 70/2003 and, where relevant, the U.S. DMCA).

15. Termination and Suspension

1. By You – You may cancel a Monthly subscription at any time via the dashboard; access continues until the end of the current billing period.
2. By PropHedge – We may suspend or terminate your account and licence, with or without notice, if you materially breach these Terms, engage in prohibited conduct, or if required by law or a competent authority.
3. Business Discontinuation – If PropHedge discontinues the Service entirely, we will use reasonable efforts to give 30 days' notice and, for Monthly subscribers, a prorated refund for unused periods.

16. Modifications to the Terms

We may update these Terms from time to time. Changes become effective on the "Last Updated" date posted. Material changes will be announced via e-mail or dashboard notice at least 14 days before they take effect. By continuing to use the Service after the effective date, you accept the revised Terms.

17. Governing Law; Dispute Resolution

1. Governing Law – These Terms are governed by and construed in accordance with the laws of Italy, without regard to conflict-of-law rules.
2. Amicable Resolution – The parties will first attempt to resolve any dispute informally by written notice and discussion within 30 days.
3. Mediation / Arbitration – If unresolved, either party may submit the dispute to mediation or, by mutual agreement, to binding arbitration administered by the Camera Arbitrale di Milano under its Rules. Seat: Milan; language: English.
4. Forum – Absent arbitration, the exclusive jurisdiction and venue for any action shall be the courts of Milan, Italy.
5. Class-Action Waiver – Where permitted by law, you and PropHedge waive any right to participate in class, collective, or representative proceedings.

18. Compliance With Local Regulation

You are solely responsible for determining whether your jurisdiction requires you to obtain licences, registrations, or approvals (e.g., Commodity Trading Adviser registration in the United States) before using automated-trading software, and for complying with any such requirements. PropHedge does not provide discretionary portfolio-management services and makes no representation that the Service is lawful in every jurisdiction.

19. Severability; Assignment; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. You may not assign or transfer your rights or obligations without PropHedge's prior written consent; PropHedge may assign these Terms without restriction. These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and PropHedge regarding the Service and supersede all prior or contemporaneous understandings.
